Terms of Service

1. Acceptance of Terms

By creating an account or using RepuVault ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including free and paid accounts.

2. Description of Service

RepuVault is a reputation management platform for local businesses. The Service monitors publicly available reviews on Google and Yelp, provides AI-powered sentiment analysis and suggested response drafts, and delivers email notifications for new reviews. Features vary by subscription plan.

3. Account Responsibilities

• You must provide accurate information when creating your account.
• You are responsible for maintaining the confidentiality of your password.
• You must be 18 years or older to use the Service.
• You may only connect business locations that you own or are authorized to manage.
• You are responsible for all activity that occurs under your account.

4. Subscription Plans and Billing

RepuVault offers free and paid subscription plans. Paid plans are billed monthly or annually through Stripe. By subscribing to a paid plan, you authorize RepuVault to charge your payment method on a recurring basis.

Free trial: Starter plans include a 7-day free trial. You will not be charged until the trial ends. Cancel at any time before the trial ends to avoid charges.

Cancellation: You may cancel your subscription at any time from the Dashboard → Billing page. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods unless required by law.

Price changes: We reserve the right to change subscription pricing with 30 days notice. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service to scrape, harvest, or redistribute review data at scale beyond your own business monitoring.
• Attempt to reverse engineer, decompile, or access the Service's source code.
• Use AI-suggested replies to post misleading or defamatory content.
• Circumvent usage limits or access controls of any subscription plan.
• Use the Service for any unlawful purpose or in violation of any applicable laws.

6. Intellectual Property

RepuVault and its content, features, and functionality are owned by RepuVault LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without written permission. Review content fetched from third-party platforms (Google, Yelp) remains the property of those platforms and their users.

7. Third-Party Services

The Service integrates with third-party platforms including Google, Yelp, Stripe, OpenAI, Supabase, Loops, and Resend. Your use of those services is subject to their respective terms and privacy policies. RepuVault is not responsible for the availability, accuracy, or conduct of third-party services.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. RepuVault does not warrant that the Service will be uninterrupted, error-free, or free of viruses. Review data accuracy depends on the availability of third-party platforms and is not guaranteed.

9. Limitation of Liability

To the maximum extent permitted by law, RepuVault LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to RepuVault in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other conduct we determine to be harmful to the Service or other users. You may terminate your account at any time by cancelling your subscription and contacting hello@repuvault.com to request deletion.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Maricopa County, Arizona.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
